By using OurGen you accept these terms

By using OurGen, you confirm that you accept these terms of use and that you agree to comply with them, and that all personal information provided by you to create your profile is true and accurate information about you. OurGen does not allow fake profiles to be created and used. If you suspect that a fake profile has been created by someone, please let us know by emailing us at hello@ourgen.co.uk . If you do not agree to these terms, you must not use OurGen.

Age and location restrictions

If you are accessing OurGen from locations out side the United Kingdom, you are responsible for compliance with local laws where applicable. OurGen or any of the products listed on the website are not designed to be used by young people under the age of 16. By using this site, you confirm that you are 16 years or older.

These terms of use refer to the following additional terms, which also apply to your use of OurGen:

Our Privacy Policy which sets out the terms on which we process any personal data we collect from you, or that you provide to us. By using OurGen, you consent to such processing and you warrant that all data provided by you is accurate.

Our Acceptable Use Policy which sets out the permitted uses and prohibited uses of OurGen. When using OurGen, you must comply with this Acceptable Use Policy.

We may make changes to these terms

We amend these terms from time to time. Every time you wish to use OurGen, please check these terms to ensure you understand the terms that apply at that time. These terms were most recently updated on the date stated on top of these terms.

We may make changes to OurGen

We may update and change OurGen from time to time to reflect changes to our services to improve performance, enhance functionality, reflect changes to the operating systems or address security issues. We may also make change to reflect our users' needs and our business priorities.

We may suspend or withdraw OurGen

We do not guarantee that OurGen, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of OurGen for business and operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

You must keep your account details safe

Your account is personal to you and you cannot permit any other person to use it. If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

We have the right to disable any user identification code or password, whether chosen by you or allocated by us, atany time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at hello@ourgen.co.uk.

How you may use material on OurGen

We are the owner or the licensee of all intellectual property rights in OurGen, and in the material published on it.Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may print off one copy, and may download extracts, of any page(s) from OurGen for your personal use and you may draw the attention of others within your organisation to content posted on OurGen. You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Our status (and that of any identified contributors) as the authors of content on OurGen must always be acknowledged.

Nothing in these terms grants you any legal rights in OurGen and/or any content published on OurGen other than as necessary to enable you to access OurGen and use its functionalities.

If you print off, copy or download any part of OurGen in breach of these terms of use, your right to use OurGen will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

Do not rely on information published on OurGen

The content on OurGen is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on OurGen.

Although we make reasonable efforts to update the information on OurGen, we make no representations, warranties or guarantees, whether express or implied, that the content on OurGen is accurate, complete or up to date.

We are not responsible for websites we link to

Where OurGen contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources.

User-generated content is not approved by us

OurGen may include information and materials uploaded by other users of you freed, including to bulletin boards and chatrooms. This information and these materials have not been verified or approved by us. The views expressed by other users on OurGen do not represent our views or values.

Our responsibility for loss or damage suffered by you

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our act (or omission), our negligence or the negligence of our employees, agents or subcontractors and for fraud or fraudulent misrepresentation.

We have no liability to you for any: (i) losses that are not foreseeable to you and us at the time when you accept these terms;(ii) losses that were not caused by any breach on our part, (iii) business losses; and (iv) losses to non-consumers.

If any defective digital content that we have supplied, damages a device or digital content belonging to you and this is caused by our failure to use reasonable care and skill, we will either repair the damage or pay you compensation. However, we will not be liable for damage that you could have avoided by following our advice to apply an update offered to you free of charge or for damage that was caused by you failing to correctly follow installation instructions or to have in place the minimum system requirements advised by us.

We will have no liability to you for any breach of these terms caused by an event or circumstance beyond our reasonable control including, but not limited to, strikes, lock-outs or other industrial disputes,breakdown of systems or network access, flood, fire, explosion or accident.

Uploading content to OurGen

Whenever you make use of a feature that allows you to upload content to OurGen, or to make contact with other users of OurGen, you must comply with the content standards set out in our Acceptable Use Policy.

You warrant that any such contribution does comply with those standards, and you will be liable to us and compensate us for any breach of that warranty.

This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty. We will try to make sure that OurGen is secure, but we cannot guarantee the security of any information that you submit to OurGen and therefore we cannot guarantee that it will be kept confidential. For that reason, you should not submit any patentable ideas or patent applications, advertising or marketing suggestions, prototypes, or any other information that you regard as confidential, commercially sensitive or valuable. We will not be legally responsible to you or anybody else for any use of any such material.

When you create an account on OurGen, our default privacy settings will be applied to your account, but you will be able to change those settings. This way you will be able to control who can see and access your profile. You can find more information about our default privacy settings in our Privacy Policy.

Any direct messaging features or job applications will only be visible and accessible to the recipients of such messages or applications. You should ensure that if you post any confidential or commercially sensitive information, such information is only posted to your intended recipients. We will not be legally responsible to you or anybody else if you post or submit any content to any unintended recipients.

You retain all of your ownership rights in your content, but you are required to grant us and other users of OurGen a limited licence to use, store and copy that content and to distribute and make it available to third parties. The rights you license to us are described in paragraph 15 below (Rights you are giving us to use material you upload).

We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to OurGen constitutes a violation of their intellectual property rights, or of their right to privacy.

We have the right to remove any posting you make on OurGen if, in our opinion, your post does not comply with the content standards set out in our Acceptable Use Policy. You are solely responsible for securing and backing up your content.

Rights you are giving us to use material you upload

When you upload or post content to OurGen, you grant the following rights to use that content:

You grant to us a perpetual, worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform that user-generated content in connection with the service provided by OurGen and across different media and to use the content to promote OurGen.

You grant to other users of OurGen (including any partners and advertisers) the right to use any content posted or uploaded by you in accordance with the functionality of the site and/or OurGen app and for the purpose for which such content was posted or uploaded. However, in respect of any content posted by you to a selected number of users, for example via a chat room, only the recipients of your message will be entitled to use the content posted or uploaded by you.

We are not responsible for viruses and you must not introduce them. We do not guarantee that OurGen will be secure or free from bugs or viruses.

You are responsible for configuring your information technology, computer programmes and platform to access OurGen. You should use your own virus protection software. You must not misuse OurGen by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to OurGen, the server on which OurGen is stored or any server, computer or database connected to OurGen. You must not attack OurGen via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will cooperate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use OurGen will cease immediately.

Rules about linking to OurGen

You may link to our home page, provided you do so ina way that is fair and legal and does not damage our reputation or take advantage of it.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

We reserve the right to withdraw linking permission without notice.You must not establish a link to OurGen in any website that is not owned by you.

OurGen must not be framed on any other site.

The website in which you are linking must comply in all respects with the content standards set out in our Acceptable Use Policy.

Disputes

If you are unhappy with us please contact us as soon as possible on hello@ourgen.co.uk. We will try to resolve any complaints and/or disputes with you quickly and efficiently. If you and we cannot resolve a dispute using our complaints handling procedure, we will let you know that we cannot settle the dispute with you, and will give you information about our alternative dispute resolution provider. You may also use the online dispute resolution (ODR) platform to resolve the dispute with us.

If you are a consumer, please note that these terms of use, their subject matter and their formation, are governed by English law.You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

If you are a business, these terms of use, their subject matter and their formation (and any non-contractual disputes or claims)are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

Our trademarks are registered

“OurGen” is a trademark of OurGen Ltd. You are not permitted to use it without our approval, unless it is a part of material you are using as permitted under paragraph 9 above (How you may use material on OurGen).
